Mazyar is a business law attorney with extensive experience in corporate law, business litigation, and construction defects. He has represented small public and private organizations with securities issues and construction defect matters. He has counseled emerging and middle market companies on a variety of corporate issues, including corporate formation and governance, real estate transactions, employment and consulting, reorganizations, loan facilities, guaranties, and general contract law.
Mazyar has represented homeowners and contractors in construction defect disputes, including matters that proceeded through trial. Additionally, Mazyar served as counsel for a surety company in defending against claims by homeowners and vendors against contractor license bonds.
Mazyar has provided legal and strategic assistance in connection with mergers and acquisitions (including reverse mergers) and has negotiated and drafted documents such as stock purchase agreements, asset purchase agreements, disclosure schedules, debt instruments, warrants, assignments and assumptions.
During his career, Mazyar has acted as securities counsel to several AMEX, NASDAQ, Bulletin Board (OTCBB) and Pink Sheet (OTCQB) public companies as well as small privately held corporations. Mazyar also has significant experience in business, employment and personal injury litigation and has served as general counsel to several small businesses throughout southern California.
Mazyar is a member of the State Bar of California and has litigated cases throughout the state. He is admitted to practice before the United States District Court for the Central and Eastern Districts or California, the United States Bankruptcy Court for the Central District of California the and the Ninth Circuit Courts of Appeal.
Mazyar holds a juris doctor degree from the Pepperdine University School of Law and has been practicing law in California since 2002.
